In short: companies with a CNPJ refer or resell CitraChat through their own link and receive 20% of the plan’s monthly fee from each customer, every month, for as long as the customer keeps paying. Payment by PIX or TED, 45 days after the customer’s payment.
These Rules govern the CitraChat Partner Program, offered by EnrRaf Digital LTDA ("EnrRaf" or "CitraChat"). By joining the Program, the participating company (the "Partner") declares that it has read and fully accepted these Rules.
1.1. The Partner Program is a referral program. The Partner promotes CitraChat and receives a commission on the subscriptions of the customers it refers, under the conditions of these Rules.
1.2. Joining is free, has no minimum target and creates no exclusivity for either party. EnrRaf may have other partners, including in the same region and the same segment, and may sell directly to any customer.
1.3. These Rules do not cover the resale of CitraChat under the Partner’s brand (Agency / white-label plan), which requires a separate contract.
2.1. A legal entity with an active and regular CNPJ may participate, represented by someone with the authority to accept these Rules. Individuals may not participate.
2.2. EnrRaf may refuse or terminate a membership at its discretion, including when the Partner’s activity is incompatible with the CitraChat brand or with the law.
3.1. Joining is done through the Program form, with electronic acceptance of these Rules. EnrRaf records the date, IP address and version accepted. The parties recognize this acceptance as valid and sufficient to form the relationship described here, pursuant to article 10, § 2, of Provisional Measure No. 2,200-2/2001 (the Brazilian measure on electronic signatures and digital certificates).
3.2. The Partner receives its own link and code, which are personal and non-transferable.
3.3. The Partner keeps its registration and bank details up to date. Payments made to details provided by the Partner itself are deemed settled.
4.1. A referral is valid when a new customer creates an account on CitraChat through the Partner’s link, or enters the Partner’s code at registration, and starts paying for a plan subscription.
4.2. The link is valid for 60 days from the click. If registration takes place after this period, without the Partner’s code, the referral is not recorded.
4.3. Each customer is tied to a single Partner. The first record made in EnrRaf’s system prevails. The link cannot be transferred by the customer or by the Partner.
4.4. The following do not generate commission:
4.5. In case of doubt about the origin of a customer, EnrRaf’s system records prevail.
5.1. The Partner receives 20% (twenty percent) of the Plan Revenue from each referred customer, every month, for as long as the customer pays the subscription and the Partner is active in the Program.
5.2. Plan Revenue is the amount actually received by EnrRaf for the customer’s plan subscription (Starter, Pro, Growth, Business or any other subscription plan that may exist), after discounts and coupons are applied, less:
5.3. The following are not included in Plan Revenue: add-ons (such as WhatsApp, Instagram and RCS notices), conversation top-ups, charges for excess usage, one-off services and any other amount that is not the plan subscription.
5.4. Amounts received in another currency are converted into reais at the rate applied upon receipt by EnrRaf.
5.5. If an amount that generated commission is later refunded or reversed, the corresponding commission is deducted from subsequent commissions.
5.6. If the customer cancels the subscription or stops paying, the commission on that customer ends from then on, permanently, even if the customer subscribes again later.
6.1. The commission on each customer payment is released 45 days after EnrRaf receives it.
6.2. On the last day of each month, EnrRaf closes the commissions released in the month and sends the statement to the Partner.
6.3. Payment is made by the 10th of the month following the closing, by PIX or TED, to a bank account held in the name of the Partner’s CNPJ, upon the Partner’s issuance of a service invoice (nota fiscal) in the amount of the statement. Without an invoice, payment is suspended until it is issued, without interest or adjustment.
6.4. A balance below R$ 100.00 (one hundred reais) accumulates to the following month. Upon termination of the partnership, the released balance is paid regardless of the amount.
6.5. EnrRaf withholds and remits the taxes that the law requires on the payment. Each party is responsible for its own taxes.
6.6. The Partner has 30 days from the sending of the statement to dispute it, by e-mail. After that, the statement is deemed accepted.
7.1. The Partner operates autonomously, with its own structure, costs and risks. It may:
7.2. In any case, including resale, the CitraChat account is created through the Partner’s link, in the customer’s name, and the subscription is billed by EnrRaf at the official prices published at citra.chat. This is how the sale is recorded for the Partner. The account and the data belong to the customer.
7.3. The price the Partner charges its customer does not change the commission: it is always 20% of the Plan Revenue received by EnrRaf (clause 5), calculated at the website prices. Anything the Partner charges on top is the Partner’s own; EnrRaf does not share in that amount nor is it liable for it.
7.4. The commercial relationship between the Partner and its customer (price, term, warranties and the Partner’s services) is the sole responsibility of the Partner. The Partner may not change CitraChat’s prices or conditions, grant discounts on behalf of EnrRaf or sign any document on its behalf.
7.5. Resale under the Partner’s brand, without reference to CitraChat (Agency / white-label plan), is not part of these Rules and requires a separate contract.
8.1. The Partner may not:
8.2. EnrRaf authorizes use of the CitraChat brand only to promote the Program, in accordance with the brand guide it provides. This authorization is limited, free of charge, non-exclusive and ends with the end of the partnership.
9.1. These Rules do not create an employment relationship, partnership, association, franchise, mandate, agency, distribution or commercial representation between the parties, nor any relationship between EnrRaf and the Partner’s employees or contractors.
9.2. In particular, Law No. 4,886/1965 (Brazilian commercial representation law) does not apply, because there is no exclusivity or territory; there is no target, subordination, control of routine or obligation to seek customers; and the Partner neither receives nor forwards orders and does not close contracts on behalf of EnrRaf. The remuneration is exclusively the commission provided for in these Rules.
9.3. Each party bears its own costs. EnrRaf does not reimburse the Partner’s expenses.
10.1. Each party is the controller of the personal data it processes on its own account and complies with Law No. 13,709/2018 (LGPD, the Brazilian General Data Protection Law).
10.2. The statement gives the Partner only what is needed to verify the commission (customer company, plan and amounts). This information is confidential and may only be used for the purposes of these Rules.
10.3. When operating a customer’s account, the Partner acts with authorization and under its own responsibility to that customer, and follows CitraChat’s Terms of Use.
10.4. The parties keep confidential the non-public information received from each other, during the partnership and for 2 years after it ends.
11.1. The Partner is responsible for the services it provides to its own customers and for what it promises or declares to them.
11.2. The Partner indemnifies EnrRaf for any claim, lawsuit, fine or cost, including attorneys’ fees, caused by a breach of these Rules or by the conduct of the Partner, its employees or contractors.
11.3. EnrRaf’s liability to the Partner, for any cause related to the Program, is limited to the amount of commissions due and unpaid, except in cases of willful misconduct or gross negligence.
12.1. The partnership is for an indefinite term. Either party may terminate it at any time, by e-mail, without penalty, prior notice or indemnity. When termination comes from EnrRaf, the e-mail states the reason.
12.2. Upon termination, new referrals cease. Commissions relating to payments received by EnrRaf up to the termination date are paid when released, in accordance with clause 6.
12.3. If EnrRaf terminates the partnership without the Partner having breached these Rules, the Partner continues to receive the commission on the customers already referred for 3 more months, counted from termination, only on payments from those customers that actually occur in that period (clause 5.6).
12.4. If the Partner breaches these Rules, EnrRaf may terminate the partnership immediately. In that case, commissions linked to the irregular conduct are canceled, and EnrRaf may withhold the others until the matter is investigated and offset against them the losses it suffered, without prejudice to collecting any excess.
13.1. EnrRaf may amend these Rules or end the Program, with 30 days’ notice by e-mail to the Partner.
13.2. A reduction in the commission percentage does not apply to customers already referred up to the date of the change for 3 months from that date.
13.3. A Partner who does not agree may terminate the partnership. Continuing in the Program after the effective date counts as acceptance of the new version.
14.1. The Partner may not assign or transfer its position under these Rules without EnrRaf’s written authorization.
14.2. One party’s tolerance of the other’s breach does not constitute a waiver of the right.
14.3. Communications are made to the registered e-mail addresses. EnrRaf’s contact is contato@citra.chat.
14.4. These Rules are governed by the laws of Brazil. The courts of the District of São Paulo/SP are elected.
